Jazalla Terms and Conditions
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Jazalla Commercial Services Company, a company registered in the Kingdom of Saudi Arabia under Commercial Registration No. 2051254026 (“Jazalla”, “we”, “us” or “our”), governing your access to and use of the Jazalla platform, website, applications, marketplace, software, services, integrations and related products (collectively, the “Platform”).
By registering for, accessing or using the Platform, you acknowledge that you have read, understood and agreed to these Terms and any applicable policies referenced in them, including the Jazalla Privacy Statement. If you do not agree to these Terms, you must not register for or use the Platform.
1. Term of Use
Jazalla is a digital B2B marketplace and business platform that provides technology and related services enabling companies to discover businesses, products and services, publish business information, communicate with other businesses, manage procurement and sales activities, participate in tenders and opportunities, and use business-management and related services.
Jazalla may introduce new features, modules, integrations or services from time to time. Such features may be subject to these Terms unless expressly stated otherwise.
Jazalla may update these Terms from time to time. Material changes may be communicated through the Platform, by email, or by other reasonable means. Continued use after the effective date of an amendment constitutes acceptance of the revised Terms, subject to mandatory notice or consent requirements under applicable law.
The terms “Jazalla”, “we”, “us” and “our” refer to Jazalla Commercial Services Company. “You”, “your”, “User”, “Customer”, “Company” or “Client” refer to the person or legal entity using the Platform.
2. Account Terms
Each Company may maintain an account associated with its Commercial Registration (“CR”) or other legally recognized business identity accepted by Jazalla.
A Company must provide accurate, complete and current information when registering, including:
- Legal company name;
- Commercial Registration number;
- Registered address;
- Contact information;
- Email address;
- Telephone number;
- VAT information;
- Authorized representative information;
- Any other information reasonably required by Jazalla.
The first person registering a Company account may be designated as the Account Administrator. The Account Administrator is responsible for managing Company users, assigning permissions, maintaining login security, removing unauthorized users, ensuring Company information is accurate, and ensuring users comply with these Terms.
Each user must maintain the confidentiality of usernames, passwords and authentication credentials and must immediately notify Jazalla of suspected unauthorized access.
Jazalla may use reasonable procedures to verify the identity or authority of a Company or representative. Jazalla is not responsible for losses resulting from false representation, unauthorized use, negligence or improper account management by the Company or its users.
4. Company Information and Customer Content
Jazalla may display Company information to other registered users or, where applicable, publicly, as part of the Platform’s functionality. This may include legal name, CR number, VAT number, business address, website, telephone numbers, business activities, industry and manufacturing classifications, products and services, local-content or other business-related scores, Company profile, certifications or qualifications, and published tenders or opportunities.
The Company is responsible for ensuring that information it publishes is accurate, lawful and authorized for publication.
Except for information and materials owned by Jazalla or third parties, the Company retains ownership of the data, documents, records, product information, images, descriptions, files and other content it submits (“Customer Content”). Jazalla does not acquire ownership merely because Customer Content is uploaded or stored.
The Company grants Jazalla a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit and display Customer Content solely to provide, operate, maintain, secure and improve the Platform and contracted services, perform requested transactions and workflows, provide support, prevent fraud or misuse, and comply with legal obligations.
Jazalla will not sell, license or commercially exploit confidential Customer Content for its independent commercial benefit without authorization, except where permitted or required by law.
Where a Company intentionally publishes a product, service, Company profile, tender, opportunity, image, description or other information through a publication feature, the Company authorizes Jazalla to display that information to the intended audience. Removal requests are subject to existing transactions, legal retention requirements, rights of other parties, accounting/tax/audit/regulatory records, and technical or legal limitations.
5. Confidential Information
Jazalla will use reasonable administrative, technical and organizational measures to protect confidential Company information.
Confidential information includes internal financial and accounting records, bank information, transaction records, purchase orders, supplier and customer records, commercial agreements, non-public pricing, private tenders, private communications, internal business documents, employee information and other information reasonably understood to be confidential.
Jazalla personnel will access confidential Company information only where reasonably necessary for authorized operational, technical, security, support, compliance or legal purposes and subject to appropriate access controls.
System administrative activities may be logged and monitored for security, audit, quality assurance and compliance purposes.
6. Marketplace Role and Third-Party Transactions
Jazalla operates a technology platform that facilitates interactions between independent businesses.
Unless expressly stated otherwise in a separate written agreement, Jazalla is not the buyer, seller, manufacturer, supplier, service provider, distributor, importer, exporter, agent, broker or principal of products or services listed by third parties on the Platform.
Each Company remains solely responsible for its products and services, specifications, pricing, availability, quality, licenses and permits, delivery, installation, warranty, returns, taxes, compliance, customer service and performance of its contractual obligations.
A transaction between two Companies creates obligations between those Companies. Jazalla is not a party to the underlying commercial contract unless expressly stated otherwise.
Jazalla does not guarantee information supplied by another Company, nor the financial condition, creditworthiness, performance, quality, availability, legality or suitability of any Company, product, service or transaction.
7. Orders, Contracts and Commercial Documents
Where the Platform enables Companies to create purchase orders, quotations, invoices, contracts, tenders, RFx documents or other commercial documents, the Company remains responsible for reviewing and approving such documents before they are issued.
Companies are responsible for ensuring that their users have appropriate authority to approve or execute transactions. Electronic records generated through the Platform may constitute evidence of transactions between users, subject to applicable Saudi laws and regulations.
8. Payment, Escrow and Payment Protection
Where Jazalla provides or facilitates payment-protection, escrow or related functionality, that functionality is subject to applicable terms of the relevant regulated payment or financial service provider.
Unless expressly stated otherwise, Jazalla does not act as a bank or deposit-taking institution. Funds held through a regulated third-party provider remain subject to that provider’s terms, controls and regulatory requirements.
Where payment is released upon delivery, acceptance or another defined event, the applicable transaction terms govern the release process. Jazalla does not guarantee buyer payment or supplier performance unless expressly provided under a separate written guarantee.
9. Service Level
Jazalla aims to provide support according to the following service priorities:
- Urgent Priority Issue: An issue affecting the entire application so that it is substantially unavailable, or an issue that significantly prevents the Customer from conducting business through the Platform. Jazalla will use commercially reasonable efforts to resolve it within six (6) hours of receipt of the support request, where possible during business hours of 8:00 a.m. to 5:00 p.m. (GMT+3).
- Regular Priority Issue: An issue affecting a significant part of the system regularly used by the Customer or significantly affecting an important business function. Jazalla will use commercially reasonable efforts to resolve it within forty-eight (48) hours of receipt, where possible during business hours.
- Low Priority Issue: An issue that moderately affects the Customer’s business or for which a reasonable temporary workaround exists. Jazalla will use commercially reasonable efforts to resolve it within a period determined by the complexity and work required.
These service levels are target response/resolution commitments and are not unconditional guarantees. They may not apply to Customer network or internet problems, Customer hardware/software, third-party systems or APIs, banking/payment providers, government systems, Force Majeure Events, cybersecurity incidents requiring containment, incorrect Customer configuration, unauthorized modifications, issues caused by Customer Content, or circumstances outside Jazalla’s reasonable control.
10. Platform Availability
Jazalla targets 99.9% monthly availability for the Platform and will use reputable hosting and infrastructure providers and commercially reasonable measures to maintain availability and resilience.
The 99.9% target excludes scheduled or emergency maintenance and outages or interruptions caused by third-party services, telecommunications, government systems, Force Majeure Events, cybersecurity incidents, or other circumstances beyond Jazalla’s reasonable control.
11. Intellectual Property
The Jazalla name, logo, trademarks, software, source code, designs, user interface, databases, documentation, methodologies, algorithms, Platform architecture and other proprietary materials are owned by or licensed to Jazalla.
Except as expressly permitted, you may not copy, modify, reproduce, distribute, sell, license, reverse engineer, decompile, create derivative works from, or commercially exploit any portion of Jazalla’s intellectual property. Nothing in these Terms transfers ownership of Jazalla’s intellectual property to a Customer.
12. Restricted Content and User Conduct
Jazalla may refuse, edit, suspend or remove content it reasonably determines to be illegal, fraudulent, misleading, defamatory, threatening, obscene, pornographic, discriminatory, infringing, malicious, harmful to the Platform, or in violation of applicable law or these Terms.
Users must conduct themselves professionally when communicating through Jazalla. Threats, harassment, intimidation, abusive conduct or retaliation against Jazalla employees, users, suppliers, customers or officers may result in suspension or termination.
Jazalla may preserve relevant records where necessary for security, investigation, legal compliance or dispute resolution and may suspend an account while investigating suspected violations.
13. Data Protection and Privacy
Jazalla processes personal data in accordance with applicable Saudi data-protection laws and regulations, including the Personal Data Protection Law (“PDPL”) and its Implementing Regulations. The Jazalla Privacy Statement forms part of these Terms.
Jazalla will implement appropriate technical and organizational measures designed to protect personal data against unauthorized access, disclosure, alteration, loss or destruction.
Jazalla may process personal data as necessary to provide the Platform, perform contractual obligations, facilitate transactions, maintain security, provide support, prevent fraud, meet legal obligations, comply with government or regulatory requirements, and for other lawful purposes disclosed in the Privacy Statement.
The applicable Saudi regulatory framework includes the PDPL, its Implementing Regulations and applicable rules concerning transfers of personal data outside the Kingdom.
14. Security and Access Control
Jazalla will maintain reasonable security measures appropriate to the nature of the Platform and data processed. Measures may include access controls, authentication, encryption where appropriate, logging and monitoring, vulnerability management, backup procedures, disaster recovery, security assessments and administrative controls.
No internet-based system can be guaranteed completely secure. Customers are responsible for maintaining the security of their credentials, devices, users and systems.
15. Third-Party Services and Optional Tools
Jazalla may integrate with or provide access to government systems, banks, open-banking providers, payment providers, tax/e-invoicing systems, authentication services, hosting providers, APIs and other technology providers. Third-party services may have their own terms, privacy policies, availability limitations and fees.
Jazalla is not responsible for failures originating exclusively from third-party systems.
Optional third-party tools may be provided on an “as available” basis and may be subject to separate terms imposed by the provider. Jazalla does not necessarily control or monitor such tools.
16. AI and Automated Features
Jazalla may provide artificial-intelligence, automation, recommendation, search, analysis or other automated features.
AI-generated information may contain errors or omissions and should not be treated as a substitute for professional, legal, financial, tax, procurement or other expert advice. Customers remain responsible for reviewing and approving AI-generated content before relying on it for material business decisions or issuing commercial documents.
Customer confidential information will not be used for unrelated AI training or commercial purposes except as disclosed to the Customer and permitted by applicable law.
17. Fees and Payment
Where a paid Jazalla package is selected, fees must be paid according to the applicable pricing plan. Subscription fees are generally payable in advance and may be subject to VAT and other applicable taxes. Additional users, modules or services may incur additional charges.
Recurring subscriptions may automatically renew where the Customer has selected recurring billing. Failure to pay may result in suspension or termination after applicable notice. Jazalla may use third-party payment processors to process subscription payments.
18. Cancellation
A Customer may request cancellation through the designated support or email channel. Cancellation does not extinguish obligations that arose before cancellation.
Unless otherwise stated in a specific commercial agreement, subscription fees already paid are non-refundable except where required by applicable law or expressly agreed by Jazalla.
19. Suspension and Termination
Jazalla may suspend or terminate an account if the Customer materially breaches these Terms, engages in fraud or unlawful activity, creates a security risk, fails to pay applicable fees, provides materially false information, abuses Jazalla employees or users, or where suspension or termination is required by law or a competent authority.
Where reasonably practicable, Jazalla may provide notice and an opportunity to remedy a breach before termination, except where immediate action is reasonably necessary.
20. Data Following Termination
Following termination, the Customer may request a copy of its Customer Content in an available standard electronic format, subject to technical feasibility and applicable fees, if any.
Jazalla may retain information where required by law, tax, accounting, regulatory, audit or legal-dispute requirements, existing transactions involving other parties, or legitimate security and fraud-prevention requirements. Jazalla will not retain personal data indefinitely where retention is no longer legally or operationally justified.
21. Acquisition, Sale or Insolvency
If Jazalla is acquired, merged, sold or otherwise transferred, Customer Content remains subject to applicable contractual and legal protections. Where legally permissible, Customers will be notified of a material change in ownership or control where it materially affects data processing or their rights.
In the event of insolvency or discontinuation of the Platform, Jazalla will use commercially reasonable efforts to provide Customers with access to and/or export of Customer Content, subject to applicable law and third-party rights.
22. Disclaimer
The Platform is provided on an “as available” basis.
Jazalla does not guarantee that the Platform will always be uninterrupted or error-free, that information will always be accurate, that third-party services will always be available, that AI-generated information will always be accurate, that marketplace participants will perform their obligations, or that third-party products and services will meet a Customer’s expectations.
Nothing in these Terms excludes any mandatory warranty, statutory right or legal protection that cannot legally be excluded.
23. Force Majeure
Jazalla will not be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, epidemics, government actions, regulatory changes, telecommunications or internet infrastructure failures, cyberattacks, major cloud-provider outages, power failures, strikes, or other events beyond reasonable control.
24. Modifications to Services and Prices
Jazalla may modify, enhance, suspend or discontinue features or services and may modify subscription prices and packages by providing reasonable notice. Price changes will generally apply at the beginning of the next applicable subscription period unless otherwise agreed.
Nothing in this section affects mandatory rights under applicable law or a separately executed commercial agreement.
25. Limitation of Liability
To the maximum extent permitted by applicable Saudi law, Jazalla shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, business opportunities, goodwill or anticipated savings.
Jazalla is a digital B2B marketplace and technology platform and, unless expressly agreed otherwise, is not a party to transactions between Customers. Jazalla does not guarantee the performance, payment, quality, delivery or fulfilment of products, services, contracts or other transactions between Customers.
Jazalla shall not be responsible for losses arising from Customer misuse; inaccurate or incomplete information provided by a Customer or third party; actions or omissions of another Customer or third party; Supplier non-performance or Buyer non-payment; product, service, delivery or fulfilment failures; banking, payment, telecommunications, government or other third-party systems; or Force Majeure Events or circumstances beyond Jazalla’s reasonable control.
Subject to applicable Saudi law, Jazalla’s total aggregate liability arising from or relating to the Platform or its services shall not exceed the fees actually paid by the affected Customer to Jazalla during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable Saudi law.
26. Customer Indemnification
To the maximum extent permitted by applicable law, the Customer agrees to indemnify and hold Jazalla, its directors, officers, employees and service providers harmless from third-party claims, losses, liabilities and reasonable costs arising from the Customer’s breach of these Terms, Customer Content, unlawful activities, infringement of third-party rights, fraud or misconduct by the Customer or its users, or transactions conducted by the Customer outside the scope of Jazalla’s responsibilities.
27. Monitoring and Audit Logs
Jazalla may monitor Platform activity for security, fraud prevention, quality assurance, system administration, troubleshooting, compliance, investigation of misuse and legal requirements.
System administrator activities may be logged and subject to access controls and internal monitoring. Monitoring does not give Jazalla unrestricted access to confidential Customer information; access will be limited to legitimate operational, security, legal or support purposes.
28. Notices and Communication
The validated email address and other contact information registered with a Company account may be used for service, security, account administration, billing, legal notices, support, important Platform changes and other communications necessary to provide the service.
Marketing communications will be handled in accordance with applicable law and the Jazalla Privacy Statement.
29. Complaints and Disputes Between Users
Jazalla may provide tools through which users can submit complaints concerning another Company and may investigate or take action at its discretion.
Unless Jazalla expressly becomes a contractual party to a transaction, disputes concerning products, services, payments, delivery, quality, warranties or performance are primarily disputes between the relevant Companies.
Nothing in this section prevents Jazalla from taking reasonable action to protect the Platform, comply with law or enforce its own rights.
30. General Provisions
Failure by Jazalla to enforce any provision of these Terms does not constitute a waiver of that provision.
These Terms, together with the Privacy Statement and any applicable service-specific agreement, constitute the agreement between the Customer and Jazalla regarding use of the Platform.
Where a separately signed agreement conflicts with these Terms, the separately signed agreement prevails to the extent of the conflict.
If any provision is determined to be invalid, unlawful or unenforceable, it will be modified or severed to the minimum extent necessary and the remaining provisions will remain in force.
The Customer may not assign or transfer its rights or obligations without Jazalla’s prior written consent, except where permitted by applicable law. Jazalla may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of substantially all of its business or assets, or similar corporate transaction, subject to applicable law.
31. Governing Law
These Terms are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
Any dispute arising between Jazalla and a Customer concerning these Terms shall be subject to the jurisdiction of the competent courts of the Kingdom of Saudi Arabia, unless mandatory law requires otherwise or the parties have agreed to another legally valid dispute-resolution mechanism in a separate agreement.
32. Language
These Terms may be made available in Arabic and English. Where required for legal or regulatory purposes, the Arabic version shall prevail in the event of any inconsistency between the Arabic and English versions, subject to applicable law and any separately executed agreement.
